Terms of Service
The terms governing our professional relationship. All engagements are subject to a formal service agreement issued during onboarding. Effective date: January 1, 2026.
1. Services
Clear Slate Digital provides B2B professional consulting services in the areas of online reputation management, digital presence strategy, local SEO, and crisis communications advisory. Services are provided exclusively to businesses, firms, practices, and professional individuals acting in a commercial capacity.
The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate written service agreement executed by both parties. These Terms of Service apply broadly; the service agreement governs the specifics of each engagement.
2. Eligibility and Vetting
Clear Slate Digital reserves the right to decline any inquiry or engagement at its sole discretion, without obligation to provide a reason. We selectively onboard clients whose situations align with our areas of expertise and whose conduct is consistent with our professional standards. Submitting an inquiry does not constitute a binding agreement or guarantee of service.
3. Confidentiality
Both parties agree to maintain strict confidentiality regarding all non-public information shared during the course of an engagement. Clear Slate Digital will not disclose client identities, circumstances, or outcomes to any third party without explicit written consent. Clients agree not to disclose proprietary methodologies, strategies, or materials provided by Clear Slate Digital.
This mutual confidentiality obligation survives the termination of any service agreement for a period of five (5) years.
4. Intellectual Property
All strategies, frameworks, analyses, and written deliverables produced by Clear Slate Digital remain the intellectual property of Clear Slate Digital until full payment is received, at which point client-specific deliverables are assigned to the client. General methodologies, templates, and proprietary tools remain the exclusive property of Clear Slate Digital regardless of payment status.
5. No Guaranteed Outcomes
While we stand behind the quality and strategic soundness of our work, we cannot guarantee specific search ranking outcomes, review removal results, or other third-party platform behaviors. Search engine algorithms, platform policies, and media environments are outside our direct control. Our commitment is to apply expert judgment, proven methodology, and sustained effort toward agreed objectives.
6. Payment Terms
Payment terms, rates, and billing schedules are specified in each individual service agreement. Invoices are due within the period stated therein. Clear Slate Digital reserves the right to suspend services for accounts with overdue balances of more than fifteen (15) days without affecting any accrued obligations of the client.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Clear Slate Digital's total liability arising from or related to any engagement shall not exceed the total fees paid by the client in the three (3) months immediately preceding the event giving rise to the claim. Clear Slate Digital shall not be liable for indirect, incidental, consequential, or punitive damages of any kind.
8. Termination
Either party may terminate a service agreement in accordance with the termination provisions therein. Upon termination, the client's obligation to pay for services rendered to the termination date remains in full force. Clear Slate Digital will deliver any completed work product through the termination date.
9. Governing Law
These terms and any related service agreement shall be governed by and construed in accordance with applicable professional services law. Any disputes shall first be subject to good-faith negotiation; if unresolved, to mediation; and if still unresolved, to binding arbitration in a mutually agreed jurisdiction.
10. Changes to These Terms
Clear Slate Digital may update these Terms of Service periodically. Updated terms are effective upon posting to this page, with the effective date revised accordingly. Active client engagements are governed by the terms in effect at the time the relevant service agreement was executed.
